• You are liable for all activities under your account

4. User Conduct & Restrictions

5. Intellectual Property Rights

Your Content: You retain ownership of content you provide. You grant KODE AR the right to use, modify, and display your content for service delivery.

Our Content: All KODE AR materials, code, designs, and technology remain our property. You may not reproduce, distribute, or modify without permission.

Client Work: Upon full payment, you own the final deliverables. Source code and templates may have restrictions as specified in your contract.

6. Payment Terms

• Invoices are due within the specified timeframe (usually 30 days)
• Payment methods accepted: bank transfer, credit card, other agreed methods
• Late payments may incur penalties and service suspension
• Prices are in South African Rand (ZAR) unless otherwise stated
• All taxes and fees are client responsibility unless stated otherwise

7. Project Timeline & Modifications

• Timelines are estimates and subject to approval delays or scope changes
• Significant scope changes may affect timeline and pricing
• Client approval is required before proceeding to next phases
• Delays caused by client non-responsiveness may incur additional fees

8. Warranties & Disclaimers

KODE AR Warranties: We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

Limited Warranty: We do not warrant that services will be error-free or uninterrupted. We are not liable for:

• Third-party service failures (hosting, ISP, payment processors)
• Client data loss due to insufficient backups
• Issues caused by unauthorized modifications
• Damages from cybersecurity attacks or malware

9. Limitation of Liability

To the fullest extent permitted by law, KODE AR shall not be liable for:

• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Data loss or corruption
• Any damages exceeding the amount paid for services

10. Hosting & Maintenance

• Hosting is provided for the first year as specified in your package
• Renewal rates may differ from initial pricing
• We provide regular backups, security updates, and maintenance
• Uptime is not guaranteed but we maintain industry-standard practices
• Emergency support (24/7) is available for critical issues

11. Support & Maintenance

• Standard support: 24/7 email support, response within 24 hours
• Premium support: Priority response and extended support hours
• Maintenance: Regular updates, security patches, and optimization
• Out-of-scope support may incur additional charges

12. Confidentiality

Both parties agree to keep confidential any proprietary information shared during service delivery, except as required by law or with written consent.

13. Termination

• Either party may terminate with 30 days written notice
• Early termination by client may result in fees for work completed
• Upon termination, we will provide all project files and final deliverables
• Outstanding payments remain due

14. Third-Party Services

Our services may integrate with third-party platforms (hosting, payment processors, analytics). We are not responsible for third-party service failures, changes, or discontinuation.

15. Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles.
